1. Acceptance of Terms

By accessing, browsing, or purchasing from Global Medical Devices Inc (“Company,” “we,” “our,” or “us”), you (“Client,” “User,” or “Customer”) agree to be bound by these Terms of Service and all applicable laws. If you do not agree, please do not use our services.

2. Scope of Services

Global Medical Devices Inc provides, but is not limited to: sales and rentals of medical imaging equipment (e.g., ultrasound, CT, MRI, C-arm units); equipment installation, deinstallation, and transport; maintenance, calibration, and repair services; consulting and project coordination for healthcare facilities.

3. Quotations and Orders

All quotes are valid for 15 calendar days unless otherwise stated. Orders are subject to final written acceptance by the Company. Acceptance of a quote constitutes acceptance of these Terms of Service.

4. Payment Terms

Standard terms: Net 30 days from the date of invoice unless otherwise specified in writing. Late payments are subject to a 1.5% monthly interest charge (or the maximum allowed by law). Client is responsible for all collection costs, attorney fees, and court costs incurred due to non-payment.

5. Shipping and Delivery

Delivery terms are FOB Origin (Client assumes risk once items leave our facility). Estimated delivery dates are not guaranteed. We are not liable for delays caused by third parties, customs, or force majeure. Client is responsible for inspecting equipment upon receipt and must report any damages or discrepancies within 48 hours.

6. Returns, Cancellations, and Restocking

All sales are final unless agreed upon in writing. Returns may be subject to a 25% restocking fee, plus shipping. Custom orders, consumables, and used equipment are non-returnable. Cancellations require written notice and may be subject to partial or full charge depending on progress made.

7. Warranties and Disclaimers

New equipment is covered under manufacturer warranty. Refurbished or used equipment may carry a limited warranty specified in the purchase agreement. Global Medical Devices Inc disclaims any implied warranties, including merchantability or fitness for a particular purpose, unless agreed in writing.

8. Limitation of Liability

Global Medical Devices Inc shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits or business interruption). Our maximum liability shall not exceed the amount paid by the client for the product or service that gave rise to the claim.

9. Field Service Policy

Service dates are scheduled based on availability and project requirements. Clients must provide safe, accessible work environments and notify us of any hazardous conditions. Any additional services not originally quoted will be billed accordingly.

10. Client Responsibilities

Clients are responsible for verifying all product compatibility, space requirements, and applicable certifications. Clients agree not to misuse any equipment, and to follow all instructions and maintenance requirements. Clients must secure all required licenses, authorizations, and permits for operation and use.

11. Confidentiality

Any confidential or proprietary information shared between the parties shall not be disclosed to third parties and shall be used strictly for the purposes outlined in service agreements.

12. Intellectual Property

All content, documents, designs, and materials provided by Global Medical Devices Inc remain our exclusive intellectual property and may not be reproduced, resold, or repurposed without written consent.

13. Force Majeure

We are not liable for failure to perform due to acts of God, war, terrorism, labor strikes, supplier failure, or other events beyond our reasonable control.

14. Dispute Resolution

Any disputes will be resolved via binding arbitration in the State of California. California law shall govern these Terms of Service, regardless of the place of performance.

15. Amendments

Global Medical Devices Inc reserves the right to update or change these Terms of Service at any time. Changes will be posted on our website or provided in writing.
